Job Description :
In close working relationship with the VP & General Counsel, the Deputy General Counsel provides strategic and tactical legal advice and its implementation for the company; Oversee and manage litigation through outside counsel. The Deputy General Counsel will perform or oversee the performance of complex legal work, including business transactions, preparing and negotiating critical contracts, risk management, regulatory compliance. The Deputy General Counsel will serve at times as the VP & General Counsel’s delegate.
The person hired for this role will potentially play a key role in Ruan’s General Counsel succession plan.

Responsibilities:
- Participate in matters of corporate governance and the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on general legal matters.
- Provide oversite of company litigation, including management of outside counsel, monitoring legal spend, evaluate exposures, and negotiations. Advise and partner with senior leaders to define settlement strategies when warranted; serve as company representative at mediations, hearings and trials as needed.
- Serve as key attorney, and advisor on major business transactions and contractual relationships.
- Conduct research and provide legal opinions to senior leaders, proactively monitor developments in relevant law, and advise company regarding the same.
- Advise on legal aspects of the company’s financing and risk management.
- Oversee corporate counsel or other members of the legal staff as assigned by the VP & General Counsel.
- Assure company regulatory compliance.
- Perform other job-related duties and special projects as required.
Requirements:
Job Requirements:
Education: Bachelors Degree or equivalent work experience
Course of Study: Juris Doctorate degree from accredited law school and admitted to practice law in Iowa.
Experience: 10+ years of experience. Must possess 10+ years of experience managing complex legal activities, including areas of contracts, litigation, and general corporate business activities.

- Performing and overseeing the work of other attorneys in a corporate setting.
